Terms and Conditions


1. DEFINITIONS

1.1. “Centric” means Centric IT Solutions Lithuania UAB, legal entity code 304771516, VAT number LT100011735717, address Jonavos str. 7, LT-44269 Kaunas, the Republic of Lithuania, email privacy@centric.solutions. Data about Centric shall be collected and stored in the Register of Legal Entities.
1.2. “Intellectual Property Rights” means all rights in patents, inventions, trade secrets and other rights in know-how (including any extension or renewal thereof), copyrights, neighbouring rights, rights conferring equivalent copyright protection, database rights, software, codes, access data, registered designs, unregistered design rights, industrial designs and utility models, trademarks, trade names, trade looks, logos, slogans and marks that are not registered (including those that are of value although they are not registrable), domain names, company names and all registrations or applications for registration of any of the foregoing items in any country or jurisdiction.
1.3. "User" means a natural or legal person who uses the Website. The User shall be deemed to be only a natural or legal person who, in accordance with the applicable law, is entitled to use the Website.
1.4. “Website” means a website www.centric.eu/lt/ that is owned and/or operated by Centric.
1.5. "Parties" mean the Centric and the User together.
1.6. "Party" means the Centric or the User.
1.7. "Privacy Notice" means the privacy notice that can be found at [Privacy Notice].
1.8. "Terms" means the following general terms and conditions for the use of the Website.
1.9. "Third Party" means any natural or legal person who is not the Party.

2. APPLICATION

2.1. These Terms apply when the User visits the Website. These Terms shall be deemed to be a legally binding agreement between Centric and the User.
2.2. By using the Website, the User confirms that the User has read these Terms in detail, agrees to their terms, conditions, and undertakes to abide by them in the use of the Terms. If the User does not agree to these Terms, the User should not start/stop using the Website.
2.3. Centric assumes no risk or liability if the User has not read these Terms in whole or in part, even if given the opportunity to do so.
2.4. By using the Website, the User acknowledges that the User has read and understood the Privacy Notice.

3. USER REPRESENTATIONS AND WARRANTIES

3.1. By using the Website, the User represents and warrants that: (i) the User has all necessary rights and authority to use the Website and to perform its obligations under these Terms;
and (ii) the information provided by the User to Centric through the Website is accurate and truthful; and (iii) by using the Website, the User is not violating any Third Party rights, including, without limitation, Intellectual Property Rights; and (iv) the information provided by the User complies with all applicable security standards and is free of any viruses, including, without limitation, malware or Trojan horses; and (v) the information provided by the User complies with all applicable laws and regulations.
3.2. The User declares and confirms that the User understands that the use of the Website is at his/her own risk and responsibility. To the fullest extent permitted by applicable law, the Website is provided "as is" and no warranty is made with respect thereto. The User acknowledges that Centric is not responsible for the Internet access services.

4. RIGHTS AND OBLIGATIONS OF THE USER

4.1. The User has the right:
4.1.1. to use the Website in accordance with these Terms;
4.1.2. to submit a request regarding the services provided by Centric in the prescribed form published on the Website;
4.1.3. to submit his/her CV and to submit a request in the form prescribed and published on the Website, in order to apply for publicly advertised Centric vacancies, traineeships or similar.
4.2. The User undertakes:
4.2.1. to use the Website in good faith, without violating these Terms and applicable legislation;
4.2.2. not to use the Website for any purpose that is unlawful and prohibited by these Terms or applicable law;
4.2.3. not to infringe any Intellectual Property Rights owned by centric or Third Parties;
4.2.4. not to attempt to obtain or collect the personal data of the Users of the Website by any means;
4.2.5. not to engage in prohibited mass extraction of information through various automated means and methods, the collection of personal information in this way, or the use of any prohibited means of collecting information;
4.2.6. not to take any action to misappropriate information or data belonging to Centric or Third Parties;
4.2.7. not to use the content of the Website in any way that violates the rights of Centric, other Users or Third Parties;
4.2.8. not to take any action that imposes an unreasonable or disproportionately heavy load on the network or infrastructure of the Website;
4.2.9. not to use any device, software or routine application that interferes or tends to interfere with the proper functioning of the Website;
4.2.10. not to behave in such a way as to restrict or hinder the use of the Website by other Users;
4.2.11. not to take any action that violates or seeks to violate the security of the Website and/or the network;
4.2.12. not to take any other action that may violate the requirements of these Terms and/or the applicable legislation.

5. RIGHTS AND OBLIGATIONS OF CENTRIC

5.1. Centric has the right:
5.1.1. temporarily or permanently suspend the operation of the Website without prior notice;
5.1.2. to block the User's access to the Website for an indefinite period of time without prior notice to the User if it becomes known that the User is in breach of his/her obligations under Clause 4.2 of these Terms. Centric's decision to block access shall depend on the extent and duration of the breach and whether the breach is material to Centric's business.
5.2. Centric undertakes:
5.2.1. to enable the User to use the Website under the conditions set out in these Terms;
5.2.2. to respect the privacy of the User and to process the User's personal data only in accordance with these Terms, the Privacy Notice and the applicable legislation;
5.2.3. to comply with any other obligations set out in these Terms and applicable legislation.

6. INTELLECTUAL PROPERTY RIGHTS

6.1. The structure of the Website and its content and its individual elements (texts, graphics, drawings, images, audio and video material, recordings, trademarks, logos, domains, know-how, computer programs, databases, etc.) (hereinafter referred to as "Centric Content") are the exclusive intellectual property of Centric or its licensors and are protected by applicable copyright and intellectual property laws. The User may not use the Centric's Content, including, but not limited to, publishing, selling, renting, copying, displaying, modifying, adapting, reproducing, or making any other use of the Centric's Content, other than for the User's own personal use only.
6.2. The User understands and agrees that by using the Website, the User does not acquire any rights to Centric's Content and may only use the Centric's Content in accordance with these Terms.
6.3. The User who infringes Centric's or Third Parties' Intellectual Property Rights shall be liable to compensate for the damages suffered as a result of such infringement.

7. THIRD PARTIES CONTENT

7.1. The Website may contain hyperlinks to other websites and content controlled by Third Parties. The User understands and agrees that Centric shall not accept any responsibility for the content of Third Parties (hereinafter referred to as the "Content"). A hyperlink from the Website to the Content does not imply that Centric endorses or is responsible
for such Content. The User is solely responsible for their use of the Content and does so at their own risk.
7.2. Centric makes no guarantees or statements whatsoever with respect to the Content (including but not limited to, no guarantee as to the accuracy of such content, and no liability for the quality of the products or services contained in the Content). The User understands that any information that can be accessed through hyperlinks to other websites is the sole responsibility of the Third Party who provided that Content.

8. LIABILITY

8.1. To the fullest extent permitted by applicable law, Centric makes no warranty as to the security of the Website, its uninterrupted or error-free operation. Centric will use reasonable efforts to place accurate and up-to-date information on this Website but makes no warranty of its accuracy, completeness and/or timeliness.
8.2. The Parties shall be liable for non-performance of their obligations under these Terms in accordance with these Terms and/or applicable law.
8.3. The Party whose acts/omissions cause the other Party to suffer loss shall be liable to indemnify the other Party against all losses suffered by it, unless otherwise provided in individual clauses of these Terms and/or applicable mandatory legal provisions.
8.4. To the extent permitted by applicable law, Centric shall not be liable for indirect damages (including, but not limited to, economic loss, loss of profits, loss of revenue) arising out of the User's access to, or inability to use, this Website.
8.5. Centric shall be exempt from any liability in cases where the User suffers damages as a result of the User's failure to actually read these Terms and the Privacy Notice, even though the User had the opportunity to do so.
8.6. Centric does not warrant and shall not be liable if the Website is uninterrupted.
8.7. The Parties shall not be liable for partial or total non-performance of their obligations if they prove that the non-performance is due to force majeure circumstances. Force majeure circumstances shall be understood as defined in the applicable legislation.

9. AMENDMENT OF TERMS

9.1. Centric has the right to change, amend or supplement these Terms at any time. Users shall be informed of changes to the Terms on the Website and changes to the Terms shall come into force immediately after their publication on the Website, unless otherwise provided. If the User does not agree to the new Terms, the User should no longer use the Website. The version of the Terms in force at the time will apply to the specific case.
9.2. The current and valid version of these Terms is always available on the Website.

10. APPLICABLE LAW AND DISPUTE RESOLUTION

10.1. These Terms shall be governed by the law of the Republic of Lithuania.
10.2. The Parties will attempt to settle any dispute, controversy or claim arising out or in connection with these Terms through negotiations. If the Parties are unable to reach amicable settlement, then any dispute, controversy or claim arising out or in connection with these Terms shall be referred to the Republic of Lithuania court as the court of first instance according to the registered office of Centric.

11. FINAL PROVISIONS

11.1. Centric may assign all of its rights and obligations under these Terms without the consent of the User.
11.2. Centric's failure to act with respect to a breach of these Terms shall not constitute a waiver of Centric's right to act with respect to subsequent or similar breaches.
11.3. If any provision of these Terms becomes void, invalid, illegal, or unenforceable then such unenforceable provision(s) shall be disregarded without affecting the legality of the remaining Terms, and the Terms as a whole shall remain in force.
11.4. If the User has any questions regarding these Terms, the User may contact Centric using the contact details set out in Clause 1.1 of these Terms.
